1. Agreement
By creating an account or using any Seraph Solutions service, including Rispah and any other platforms we offer (collectively, the "Services"), you agree to these Terms. If you do not agree, do not use the Services.
2. Services
Seraph Solutions provides software tools for project management, workflow automation, and business operations. The specific features available to you depend on your subscription or agreement with us.
3. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information when registering. You may not share your account or allow others to access the Services through your credentials. Notify us immediately at info@seraphsolutions.tech if you suspect unauthorized access.
4. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose
- Attempt to gain unauthorized access to any system or data
- Transmit malware, spam, or harmful code
- Scrape, reverse engineer, or copy any part of the Services
- Interfere with the security or availability of the Services
- Use the Services to store or transmit content that is defamatory, obscene, or violates third-party rights
5. Your Data
You retain ownership of all content and data you submit to the Services. You grant Seraph Solutions a limited license to store, process, and display your data solely to provide the Services. We do not sell your data.
6. Payment
Certain features may require a paid subscription. Pricing, billing terms, and cancellation policies will be presented at the time of purchase. Payments may be processed by a third-party payment processor. We do not store full payment card information.
7. Intellectual Property
All software, design, and content comprising the Services are the property of Seraph Solutions LLC and are protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Services.
8. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. SERAPH SOLUTIONS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERAPH SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
10. Termination
Either party may terminate your account at any time. We may suspend or terminate your access if you violate these Terms. Upon termination, your right to use the Services ends. You may export your data before termination; data may be deleted after a reasonable period following termination.
11. Governing Law
These Terms are governed by the laws of the State of Hawaii, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in Hawaii.
12. Changes
We may update these Terms from time to time. Continued use of the Services after changes constitutes acceptance of the updated Terms. We will make reasonable efforts to notify users of material changes.
